1. Definitions
"SOFTNET" means SOFTNET Technologies Sdn Bhd, SOFTNET Sdn Bhd, SOFTNET Technology Park Sdn Bhd and their group entities, including SOFTNET Solutions Pte. Ltd. (Singapore, formerly SOFTNET Pte. Ltd.), SOFTNET LLC (Houston, Texas, USA), “SOFTNET” MAS'ULIYATI CHEKLANGAN JAMIYAT (Tashkent, Uzbekistan), and SOFTNET Technology Park Pvt. Ltd. (Pakistan engineering centres in Lahore, Islamabad and Faisalabad). "Services" means cybersecurity consulting, AI lab services, software development, ISO consulting, training, and related professional services. "Client" means the organisation or individual that engages SOFTNET under a Statement of Work (SOW) or Purchase Order. "You" means any visitor to this website.
2. Website use
- You may browse, download public resources, and contact us through the website.
- You may not scrape, spider, harvest, or systematically copy content without written permission.
- You may not attempt to compromise the security of the website or interfere with its operation.
- All website content (text, graphics, code, logos) is owned by SOFTNET or its licensors and protected by copyright and trademark law.
3. Professional services
All professional services are governed by a separate SOW, Master Services Agreement (MSA), or Training Agreement signed by both parties. The terms below apply generally where the SOW is silent:
- Scope: The SOW defines deliverables, timelines, assumptions, and exclusions. Changes require a written Change Order.
- Fees: Professional fees are as quoted. Expenses (travel, software licenses, third-party tools) are reimbursed at cost with prior approval or as specified in the SOW.
- Payment: Net 14 days from invoice date unless otherwise agreed. Late payments attract interest at 1.5% per month.
- Confidentiality: Both parties treat all non-public information as confidential for 5 years post-termination, or as defined in the NDA.
- Intellectual Property: Pre-existing IP remains with its owner. Client-owned custom deliverables are assigned to Client upon full payment. SOFTNET retains the right to reuse general methodologies, templates and non-client-specific know-how.
- Subcontracting: SOFTNET may use group entities and vetted subcontractors. We remain liable for their work.
4. Training & certifications
- Course fees are payable in full before commencement unless a corporate Purchase Order is approved.
- Cancellations by Client within 7 days of start date forfeit 50% of the fee; within 48 hours forfeit 100%.
- Certifications are awarded only to candidates who meet attendance, examination and ethical-conduct requirements.
- Course materials are licensed for personal use only. Redistribution is prohibited.
- SOFTNET reserves the right to reschedule or substitute instructors with equivalent expertise.
5. Limitation of liability
To the maximum extent permitted by applicable law in the governing jurisdiction:
- SOFTNET's total liability for any claim arising out of or relating to services shall not exceed the total amount paid by Client for the services giving rise to the claim in the 12 months preceding the event.
- Neither party shall be liable for indirect, consequential, incidental, punitive or special damages, including lost profits, lost data, or business interruption.
- SOFTNET does not warrant that a penetration test, assessment or audit will discover all vulnerabilities, or that compliance certification guarantees future regulatory acceptance.
6. Governing law & dispute resolution
The governing law for each engagement is determined by the contracting entity:
- Malaysia contracts: Laws of Malaysia; disputes resolved in Kuala Lumpur courts or via arbitration under the AIAC Rules.
- Singapore contracts: Laws of Singapore; disputes resolved in Singapore International Arbitration Centre (SIAC).
- USA contracts: Laws of the State of Delaware (for LLC matters); disputes in Delaware courts or AAA arbitration.
- Uzbekistan contracts: Laws of the Republic of Uzbekistan; disputes in Tashkent commercial courts.
- Pakistan contracts: Laws of Pakistan; disputes in Lahore or Islamabad courts.
All parties commit to good-faith negotiation for 30 days before formal proceedings.
7. Indemnity
Client indemnifies SOFTNET against claims arising from Client's misuse of deliverables, infringement of third-party IP supplied by Client, or breach of confidentiality obligations.
8. Termination
Either party may terminate a services engagement for material breach with 14 days' written notice if uncured. On termination, Client pays for all work completed and non-cancellable expenses incurred up to the termination date. Provisions on confidentiality, IP, liability and dispute resolution survive termination.
9. Anti-bribery & ethics
SOFTNET complies with the Malaysian Anti-Corruption Commission Act, U.S. Foreign Corrupt Practices Act, UK Bribery Act, and equivalent laws in every jurisdiction. We do not offer or accept bribes, facilitation payments, or improper advantages. Report concerns confidentially to ethics@softnet.com.my.
10. Modifications
We may revise these Terms from time to time. The current version is always posted here with its effective date. Continued use of the website after changes constitutes acceptance.
